Promptly upon termination of this Section 13, the Recipient agrees to return or destroy all Confidential Information that the Discloser made available to the Recipient. Notwithstanding the foregoing, the Recipient may keep archival copies of any Confidential Information in accordance with its document retention policies provided the Recipient maintains the confidentiality of such Confidential Information according to the terms herein.
Nothing herein imposes any obligation to proceed with any business transaction and does not create any agency or partnership relationship. All Confidential Information is provided “AS IS” and without any warranty, express, implied or otherwise, including without limitation with respect to its accuracy or completeness.
